    Since SeaWorld Entertainment (NASDAQ: SEAS) launched an unsolicited $60 per share, or $3.4 billion, takeover offer for Cedar Fair, L.P. (NYSE: FUN) earlier this week speculation has turned to if rival Six Flags (NYSE: SIX) would again join the fray for the Sandusky, Ohio-based amusement park operator. In 2019, Cedar Fair rejected a $70, or $4 billion, cash-and-stock offer from Six Flags.

     

    Commenting on the speculation today, Stifel analyst David Katz said given the fact that Six Flags was willing to acquireCedar Fair at a higher valuation back in 2019 it could revisit its past offer, even though the board and management have largely changed since that time.

     

    Katz said Six Flags could reasonably acquire Cedar Fair at $60-$80/share, which assumes a leverage ceiling is 4.5X, a mix of stock at $35, and debt assumption that leaves the value of SIX at $47-$57/share. The analyst highlights that the current Six Flags CEO, Selim Bassoul, in his past leadership positions at MIDD has been an active acquirer of roll-up opportunities. Further, the analyst highlights that the geographic overlap between the companies is limited to four of Six Flags' 19 markets.

     

    In addition to being a buyer, Katz thinks Six Flags could also make sense as a seller. "On a comparative, normalized basis, SIX EBITDA margins have ranged between 36%-38% and are expected to be 36.5% according to our estimates," Katz notes. "This compares with FUN, which has ranged from 33%-36% and more noteworthy, SEAS at 40%-42%, according to current consensus, which suggests there could be profit opportunities within SIX as a target." Overall, however, the analyst sees the Six Flags as more of a buyer than a seller and he continues to like the stock.

     

    Six Flags has not commented on rumors it could again be looking at Cedar Fair.

  3. It might make sense to rip out the big coasters and convert Michigan's Adventure to a Sesame Place.

     

    It sounds like this is an all cash offer, which makes it much stronger than the previous Six Flags stock for stock offer, even though it gives Cedar Fair a lower valuation.

     

    This might be a good time to rebrand the parent company as Cedar Fair or a new company name.  Limiting the SeaWorld name to a few parks and not the parent company would help cleanup the company image.

     

    I am curious if Scott Ross will let Cedar Fair management run the new company, while he slowly cashes out his majority stake.

  4. It's not confirmed, but I think SFGAm is retheming Yankee Harbor for Batman The Ride's 30th birthday. (V2 rethemed to The Flash, Whirligig rethemed to DC Super Villians Swing, and Yankee Clipper rethemed to Aquaman.  It will be interesting to see if Roaring Rapids goes back to its original name (White Water Rampage) as part of the ride renovation.  Maybe a Mardi Gras themed name, such as Ragin' Cajun Rapids would fit that area better.

    It looks like they are being called legacy memberships now.  I imagine Six Flags will increase the prices on legacy memberships after 12 months to get all of those people to switch to the new passes.

    2023/2024 - Launched Coaster - Rumor - (11/7/21) Not much to report right now, but hearing that California’s Great America could be in the early phases of planning for the park’s next coaster. The early contender being considered so far is said to be a launched coaster, which was included as part of an approved masterplan presented to the city several years ago. One concept rumored to be under consideration for the park would be a multi-launch coaster from Mack Rides, not unlike Copperhead Strike at Carowinds, but with a custom layout.

    2023?? - New Roller Coaster - RUMOR - (11/7/21) According to a Screamscape source, the rumored Giga Coaster plans for Knott’s may have been given approval to move forward with an intended timeline of opening the coaster in 2023. Keep an eye on the Mystery Lodge area for possible signs of prep work, as this is where the entrance / station is expected to go, with the rest of the coaster expected to be contained mostly in the southern parking lot area, towards the Hotel. If the rumor holds true, early work to prep the site may begin sometime between Q1 and Q2 of 2022.

    Adventureland has been owned and operated by the Krantz family since 1974, containing more than 100 rides, shows and attractions.

    Starting in the new year, Adventureland Platinum Season Passholders will be able to visit other Palace Entertainment sister parks for free, including Noah's Ark Waterpark in the Wisconsin Dells, and Kennywood near Pittsburgh. 
     

    "We look forward to our Palace Entertainment team combining their operational excellence with Adventureland's family-run legacy of entertainment," said Pascal Ferracci, chief executive officer of Parques Reunidos. "Parques Reunidos has a unique track record of acquiring and successfully integrating parks, with over 20 transactions completed across 11 countries since 2004. This will continue to be a growth lever for the group, keeping local brands and historical positioning of acquired parks while benefiting from state-of-the-art tools and capabilities to further develop the business."

     

  13. The reorganization begins:

    "As part of a strategic reorganization, on December 3, 2021, Six Flags Entertainment Corporation (the “Company”) announced that it eliminated the role of Executive Vice President, General Counsel & Chief Administrative Officer. In connection with the elimination, Laura W. Doerre will depart her role as Executive Vice President, General Counsel & Chief Administrative Officer of the Company, effective December 12, 2021 (the “Separation Date”), following a transition of her duties. On December 3, 2021, Ms. Doerre and the Company entered into an Agreement and General Release (the “Doerre Agreement”). Subject to Ms. Doerre’s compliance with certain obligations under the Doerre Agreement, including certain re-execution and non-revocation requirements, the Doerre Agreement provides that Ms. Doerre will be entitled to receive, among other things, (1) payment of her full 2021 annual bonus in accordance with the Company’s procedures for the payment of executive bonuses and payable at such time as bonuses are ordinarily paid; (2) payment of a cash amount equal to the sum of one year’s base salary and target bonus within 60 days of the Separation Date; and (3) accelerated vesting of certain outstanding unvested equity awards held by Ms. Doerre pursuant to the terms of her employment agreement with the Company. The Doerre Agreement also contains a release of claims against the Company and its affiliates."
